Audit:

• Lead the teams conducting Secretarial Audits, Compliance Audits mandated under SEBI (LODR) Regulations, 2015, Compliance Audit of Research Analysts mandated under SEBI (Research Analysts) Regulation, 2014.

Advisory:

• Handled advisory and consultancy services to the Client Companies relating to Fund Raising concerning the quantum, investment tools, risk assessment etc. Drafted term sheets, Shareholders / Share Purchase Agreements.
• Conducted thorough due diligence of Companies for Clients / Investors involving the assessment and compatibility of Board of Directors, Capital Structure, Debt Exposure, Payback History etc.
• Advised and issued formal opinions to the clients involving critical aspects of the Companies Act, 2013 including Related Party Transactions, Inter-corporate Loans and Advances, Remuneration to Key Managerial Personnel and Board of Directors of the Company, Deposits, Corporate Social Responsibility, Removal of Director etc.
• Provided detailed consultation on Incorporation of Companies and LLPs involving entities engaged as Alternate Investment Funds (AIF), Sponsors to AIF, Section 8 Companies, NBFC etc.
• Provided on going consultation to the clients - listed, public limited and private limited companies on a retainership basis.

Litigations:

• Lead the Litigation team and handled various kind of litigations under: 1) The Companies Act, 2013 including - mergers and demergers of private and listed public limited companies, reduction of share capital, oppression and mismanagement, rectification of register of members and restoration of name of struck off companies. 2) The Insolvency and Bankruptcy Code, 2016 including - Petitions under Section 7, 9 and 10 of the Code, Petitions involving Resolution Professional and Liquidator under Section 43 of the Code - Avoidance of Fraudulent, Preferential and Undervalued Transactions and Petitions involving Resolution Professional and Liquidator under Section 19 of the Code for the Non Co-operation by the Ex Management of the Corporate Debtors.
• Appeared before the National Company Law Tribunal, National Company Law Appellate Tribunal representing clients on a regular basis.

Drafting and Agreements:

• Drafted Petitions, Applications and other ancillary drafts in house for the litigations handled.
• Extensively drafted, vetted and reviewed Agreements for clients including Shareholders' / Share Purchase Agreements, Limited Liability Partnership Agreements, Distributorship Agreements, Service Agreements, Non Disclosure Agreements, Memorandum of Understandings etc.

• Lead the Compliance Department of this BSE Listed Company and was responsible for compliances related to the Companies Act, 2013, SEBI (LODR) Regulations, 2015, FEMA 1999.
• Apart from the regular compliances, handled a Private Placement of equity shares of a Listed Company, worked on declaration and payment of dividend and CSR implementation and monitoring. Worked closely and in tandem with the statutory auditor and secretarial auditor of the Company to understand the auditor's point of view in compliance management.
